The Richmond Holmes selling journey

Your sale, structured from start to finish.

Every sale develops differently, but a defined sequence keeps the seller, buyer, solicitors and any connected chain working towards the same milestones.

  1. 01Valuation & strategy

We inspect the property, review comparable evidence and discuss price, timing and the most suitable method of sale.

  2. 02Instruction & verification

You select the agency basis and fee. We confirm ownership, authority, identity and the information needed for anti-money-laundering checks.

  3. 03Sale-ready preparation

We gather the EPC and material property information, agree viewing arrangements and help identify documents that may delay conveyancing.

  4. 04Presentation

Property particulars, photographs, measurements and any floorplan are prepared and sent to you for approval before publication.

  5. 05Marketing launch

Once authorised, the property is promoted through the agreed channels and matched to suitable registered buyers.

  6. 06Viewings & feedback

We coordinate viewings, keep an attendance record and report meaningful feedback so the strategy can be reviewed.

  7. 07Offers & negotiation

Every offer is reported promptly and confirmed in writing. We establish the buyer's funding, chain position and proposed timescale.

  8. 08Sale agreed

Following your instruction, we confirm the agreed terms and issue a memorandum of sale to both parties and their conveyancers.

  9. 09Conveyancing & survey

The legal representatives deal with title, searches, enquiries and contract papers while the buyer arranges finance and any survey.

  10. 10Sales progression

We monitor the chain, mortgage and legal milestones, communicate delays and help keep all parties focused on agreed next steps.

  11. 11Exchange & completion

The sale becomes binding at exchange. On completion, funds transfer and keys are released in line with the conveyancer's authority.

Richmond Holmes Estates can arrange legal, surveying, mortgage and tax-related services through suitably qualified independent providers. Any separate cost or fee will be disclosed and agreed with the customer before the service is instructed. Sellers and buyers remain free to choose their own provider.

Choose your appointment

Straightforward sales commission.

The commission is calculated against the final sale price. At a final sale price of £250,000, 0.9% is £2,250 and 1.5% is £3,750. A higher or lower price changes the fee proportionately.

Wider agent network1.5%

RH Multi Agency

Flexible Multi-Agency

You may instruct other estate agents at the same time. Richmond Holmes earns the fee where a buyer effectively introduced by us proceeds to unconditional exchange.

  • 1.5% of the final sale price
  • No initial minimum appointment period
  • 21 days' written notice
  • Full valuation, marketing, negotiation and progression service
  • Clear protection against avoidable dual-fee disputes
Choose Multi Agency
Sole agency warning

During the sole-agency period you must not instruct another estate agent. You can remain liable to Richmond Holmes where unconditional contracts are exchanged with a purchaser introduced or negotiated with by us during that period, or with a purchaser introduced by another agent during that period.

Possible dual-fee liability

If another agent has already introduced a buyer, or is instructed during or after our appointment, more than one commission may become payable. Tell us about every previous agent and buyer before signing.

RH Estates & Solutions Ltd trading as Richmond Holmes

Residential Sales Terms of Business

Trading address: 5 The Lanes, Sutton Coldfield, B72 1YG · Company number 12312133 · Email: info@richmondholmes.com

1. Parties, property and authority

1.1 The seller appoints Richmond Holmes (the agent) to market the property identified in the appointment form on the selected sole-agency or multi-agency basis.

1.2 Each seller confirms that they are a legal owner or are authorised by every owner, trustee, attorney, personal representative, mortgagee or other person whose authority is required. The seller must disclose any restriction affecting the proposed sale.

1.3 The agent will act with reasonable care and skill but cannot guarantee a buyer, price, timescale, mortgage offer, survey outcome, exchange or completion.

2. Selected appointment and commission

2.1 RH Sole Agency: commission is 0.9% of the final sale price and the initial minimum sole-agency period is 16 weeks from the agreement date. During that period the seller must not instruct another estate agent. At the end of week 16, the appointment automatically continues on a non-exclusive basis: the seller may appoint other estate agents, but Richmond Holmes' commission remains 0.9% because the appointment began with first sole-agency rights. The seller may terminate after the initial period by giving at least 21 days' written notice.

2.2 RH Multi Agency from the outset: commission is 1.5% of the final sale price. There is no initial minimum period and either party may end the appointment on 21 days' written notice.

2.3 The selected percentage moves with the final sale price. For illustration, on a £250,000 sale the sole-agency fee is £2,250 and the multi-agency-from-outset fee is £3,750.

2.4 Commission becomes due when unconditional contracts are exchanged and is payable on completion. The seller authorises their conveyancer to pay properly due commission from completion monies. If the transaction ends before unconditional exchange, no commission is payable, although a separately itemised and authorised third-party cost may remain due.

3. Prescribed sole-agency explanation

SOLE AGENCY. You will be liable to pay remuneration to us, in addition to any other costs or charges agreed, if at any time unconditional contracts for the sale of the property are exchanged:

(a) with a purchaser introduced by us during the period of our sole agency or with whom we had negotiations about the property during that period; or

(b) with a purchaser introduced by another agent during that period.

This wording applies only where RH Sole Agency is selected. A private buyer not introduced by an estate agent is not treated as a buyer introduced by another agent solely because the seller found them, but the seller must notify Richmond Holmes immediately so the circumstances can be recorded.

4. Multi-agency fee trigger

Where RH Multi Agency is selected from the outset, the seller may appoint other agents. Richmond Holmes is entitled to the 1.5% commission where unconditional contracts are exchanged with a purchaser who was effectively introduced by Richmond Holmes during the appointment or with whom Richmond Holmes had substantive negotiations about the property during that period. Where a sole-agency appointment has already completed its initial 16-week period and automatically continued non-exclusively, Richmond Holmes' commission remains 0.9%.

5. Continuing liability and dual fees

5.1 If another agent later issues a memorandum of sale to a buyer effectively introduced by Richmond Holmes and exchange follows, Richmond Holmes may claim commission only where that memorandum is issued within six months after this appointment ends. If no other estate agent is involved, that period extends to two years.

5.2 On termination Richmond Holmes will confirm the termination date, any properly due costs and the parties it introduced. The seller must provide the next agent with that list and must tell Richmond Holmes about any sale involving a listed party.

5.3 The seller must disclose previous agency agreements and previous viewers or prospective buyers before signing. The seller understands that overlapping introductions or appointing another agent during a sole-agency period may result in more than one fee.

6. Marketing and seller approval

6.1 Subject to the seller's approval, the agent may prepare and publish photographs, descriptions, measurements, floorplans, video, boards and advertising through the agreed portals and channels. The agent will not start marketing until authorised and a valid EPC is available or has been commissioned where required.

6.2 Marketing particulars will be submitted to the seller for approval. Approval does not remove the agent's duty to take reasonable care, but the seller must check them promptly and report any error or change.

6.3 No withdrawal fee or marketing cost is charged unless a specific amount and purpose are inserted in the signed appointment form before work begins. External suppliers remain subject to their own agreed terms.

7. Material information and seller cooperation

7.1 The seller must provide complete and accurate material information, including tenure, title restrictions, boundaries, services, building safety, lease length, service charges, ground rent, occupiers, disputes, flooding, defects, planning matters and any other fact that may affect a buyer's decision.

7.2 The seller must notify the agent promptly if information changes. The agent may pause or amend marketing where information is missing, doubtful, misleading or legally required.

7.3 The seller should instruct a conveyancer and assemble title, leasehold, planning, warranty and property-information documents as early as possible.

8. Viewings, keys and access

The seller's viewing and access instructions will be recorded. Keys held by the agent will be coded, kept securely and released only in accordance with reasonable identification and authority procedures. The seller must ensure safe access and disclose any occupier, alarm, pet or hazard affecting a visit.

9. Offers, buyer checks and negotiation

9.1 All offers received before exchange will be passed to the seller as soon as reasonably possible unless the seller has given a lawful written instruction not to receive a stated type or level of offer. Offers and the seller's response will be confirmed and recorded.

9.2 The agent will take reasonable steps to establish the buyer's source and availability of funds, mortgage requirement, related sale and chain position. An offer will not be withheld because a buyer declines a mortgage, conveyancing or other referred service.

9.3 The seller decides whether to accept an offer and whether marketing continues after acceptance, subject to accurate disclosure that an offer has been accepted subject to contract.

10. Sale agreed and progression

After acceptance, the agent may issue a memorandum of sale, communicate with the parties and their advisers, monitor funding and conveyancing milestones, and help resolve avoidable delays. Legal decisions and the authority to exchange or complete remain with the seller and their conveyancer.

11. Identity, anti-money laundering and sanctions

The seller must provide identity, address, ownership, source-of-funds or wealth and other information reasonably required for customer due diligence. The agent may use an electronic verification provider, retain required records, pause work or decline/terminate the appointment where checks cannot be completed or law requires it. The agent may be unable to explain a lawful report or restriction.

12. Referrals, connected services and conflicts

At the seller's or buyer's request, Richmond Holmes Estates can arrange legal, conveyancing, surveying, mortgage, tax-related or other connected services through suitably qualified independent providers. Any separate cost or fee, referral benefit, connected service or conflict of interest will be disclosed in writing before the service is instructed. The seller and buyer remain free to choose their own provider. The seller will be told if the agent, an employee or a connected person has a personal interest in the purchase.

13. Cancellation and early start

13.1 Where a consumer seller signs online or away from the agent's business premises, they normally have 14 days beginning the day after agreement to cancel. A cancellation form is available below and cancellation may also be sent by a clear statement to info@richmondholmes.com.

13.2 The agent will not begin marketing during that period unless the seller expressly requests an early start. If the seller then cancels, they must pay only a proportionate amount for services actually supplied and any specific third-party cost agreed in advance. Commission remains subject to clause 2.4.

13.3 If the service has been fully performed within the cancellation period following the seller's express request and acknowledgement, the statutory cancellation right may be lost to the extent permitted by law.

14. Termination and handover

14.1 For a sole-agency appointment, the seller may give 21 days' written notice during or after the initial 16-week period, but termination cannot take effect before the end of week 16. If the appointment is not terminated, it automatically continues after week 16 on the non-exclusive basis described in clause 2.1 at the unchanged 0.9% commission rate. A multi-agency appointment selected from the outset may be ended on 21 days' written notice. The agent may terminate on 21 days' notice or immediately for material breach, illegality, abusive conduct, conflict, non-cooperation with required checks or a serious safety risk.

14.2 Termination does not remove accrued rights, authorised costs or continuing commission liability under clauses 3 to 5. Any pursuit of fees must be proportionate and reasonable.

15. Data, communications, complaints and general terms

15.1 Personal data will be used for agency services, marketing administration, due diligence, fraud prevention and legal compliance in accordance with the agent's privacy notice. It may be shared where necessary with buyers, advisers, contractors, portals, verification providers, regulators and authorities.

15.2 Notices may be delivered by hand, prepaid post or email to the latest notified address. Changes to fees, appointment type or material terms must be mutually agreed in writing.

15.3 Complaints should first follow Richmond Holmes' written complaints procedure. The final response will identify the current approved property redress scheme and the time limit for referral.

15.4 Nothing excludes liability that cannot lawfully be excluded. The agent is not responsible for indirect loss or for delay caused by another party outside its reasonable control, but this does not limit liability for the agent's negligence, fraud or breach of contract.

15.5 English law applies and the courts of England and Wales have jurisdiction, subject to mandatory consumer rights. If a provision is unenforceable, the remaining terms continue.

Model cancellation form

To: Richmond Holmes, 5 The Lanes, Sutton Coldfield, B72 1YG / info@richmondholmes.com

I/We give notice that I/We cancel the contract for estate agency services relating to: ______________________________

Seller name(s): ______________________________   Address: ______________________________

Signed (if sent on paper): ____________________   Date: ____________________

Commencement of services

Richmond Holmes Estates will normally begin the agreed agency or management services immediately after the completed agreement has been signed by the customer and accepted by Richmond Holmes Estates, unless a different start date is recorded in the appointment schedule. Work remains subject to the agreed service scope, the customer's lawful instructions, necessary identity and ownership checks, access, funding and other required consents or information. This does not authorise physical works or a binding property transaction beyond the authority separately given in the agreement.

Marketing and publication of particulars remain subject to the Seller's or Owner's agreed approval procedure and any EPC or other legal requirement. Sales commission remains subject to the agreed exchange/completion trigger; signing or starting work does not itself earn that commission.

Where a statutory consumer cancellation period applies, services will begin during that period only after the customer's express request, recorded on paper, by email or another durable medium, and after the required cancellation information has been supplied. The general signature alone is not treated as that request. Without it, services under the new appointment will begin after the cancellation period ends, or on a later agreed date. If the customer validly cancels during that period, only the proportionate amount lawfully payable for services actually supplied may be charged. Starting work or finding a tenant or buyer does not by itself remove cancellation rights.

This provision does not create a new fee, accelerate an existing fee trigger or increase any agreed cancellation charge. Outside statutory cooling-off cancellation, only charges properly payable under the agreement and applicable law may be recovered, with no double recovery for the same work or loss. Statutory cancellation rights take precedence over conflicting fee, minimum-term and notice provisions.

Fee information: Percentages are the management commission charged on rent collected and are subject to the signed agency agreement. Each management appointment has an initial minimum period of 12 months and is then subject to three months’ written notice. If a landlord bypasses Richmond Holmes and lets to a prospective tenant effectively introduced by us, the one-off introduced-tenant fee in clause 10.6 may apply. Separately agreed third-party costs may apply. The 5% RH Portfolio rate is available to qualifying portfolios following a review of property numbers, location, condition and management requirements. Legal proceedings, court work and specialist professional services are not included unless confirmed in writing. A separate letting administration fee equal to two weeks of basic rent (agreed annual basic rent ÷ 52 × 2) is payable by the landlord for each new letting or re-letting, in addition to management commission. For monthly rent, the calculation is monthly rent × 12 ÷ 52 × 2. It is earned when the binding tenancy is completed and the agreed administration is supplied, and is deducted from cleared first-month rent belonging to the landlord; the tenant receives credit for the full rent paid. At £1,200 monthly rent the fee is £553.85. Existing-tenant management renewal alone does not trigger it. Cancellation charges and refunds remain subject to the agreement and statutory rights, with credit for overlapping charges.

RH Estates & Solutions Ltd trading as Richmond Holmes Estates

Residential Landlord Terms of Business

V.1 revised 9 September 2026. Read together with the completed appointment and fee schedules and appendices in the PDF above.

1. Definitions and interpretation

1.1 Agent means RH Estates & Solutions Ltd trading as Richmond Holmes Estates. Landlord means every person named in the appointment schedule. Property means the address in that schedule. Tenant includes an applicant, permitted occupier or tenant where the context requires.

1.2 Agreement means the appointment schedule, service and fee schedule, these terms, any written special conditions and the agent’s privacy notice.

1.3 References to legislation include amendments, replacements, regulations and official prescribed forms in force at the relevant time.

2. Appointment and authority

2.1 The landlord appoints the agent for the property and selected package. The landlord authorises the agent to advertise, arrange viewings, obtain references, prepare tenancy documents, receive permitted payments, collect rent and carry out the functions included in that package.

2.2 The agent will exercise reasonable care and skill, maintain appropriate records and report material matters. The agent cannot guarantee a tenant’s conduct, continued employment, payment of rent or the outcome of proceedings.

2.3 The landlord retains responsibility for decisions reserved to them by these terms and must provide timely instructions. If urgent instructions are unavailable, the agent may take the reasonable action permitted by clause 8.

3. Marketing, applicants and tenancy creation

3.1 The Landlord authorises Richmond Holmes Estates to accept or reject prospective tenants using lawful applicant criteria, subject to the referencing and other checks required by this agreement and applicable law.

Throughout the Agent’s continuing management appointment, the Landlord gives advance authority to market and re-let the Property when it is lawfully available, and to enter into the tenancy agreement on the Landlord’s behalf. Separate prior consent is not required for each applicant or re-letting, provided the Agent follows the standard applicant criteria, rent or rent range, and tenancy terms. This authority is intended to minimise avoidable vacancy and loss of rental income; it does not guarantee continuous occupation or rent.

The Agent must obtain written approval for any material departure from those agreed instructions and promptly notify the Landlord when a new tenancy is agreed. This authority is subject to any effective withdrawal or restriction of authority received before a binding tenancy is entered into and ends when the management appointment lawfully ends. It does not itself extend the management term or authorise additional charges.

3.2 Marketing and applicant handling must comply with applicable consumer, equality, rental-bidding, rent-in-advance and fee rules. The landlord must not instruct the agent to act unlawfully or discriminate.

3.3 Subject to the package, the agent will undertake proportionate referencing and right-to-rent checks. References and checks reduce risk but are not guarantees.

3.4 The agent will use an appropriate written tenancy agreement or written statement. Most private residential tenancies in England are assured periodic tenancies. Rent increases and possession action will use the law and prescribed procedure in force at the relevant time.

4. Commission, charges and accounting

4.1 The landlord will pay the commission shown in the service schedule on rent collected while management continues, together with agreed additional charges and authorised expenditure.

4.2 The agent may deduct properly due sums from money held for the landlord and will identify deductions in the landlord statement.

4.3 The agent will remit cleared funds in its normal payment run. Interest is not payable to the landlord on client money unless required by law or agreed in writing.

4.4 Third-party costs remain the landlord’s responsibility. Where practical, the agent will obtain approval before instructing out-of-scope work, except in an emergency or where delay creates a safety, damage or compliance risk.

4.5 The Landlord will pay Richmond Holmes Estates a letting administration fee equal to two weeks of the agreed rent for each new letting or re-letting arranged by the Agent. The fee covers administration of applicant checks, coordination of tenancy or lease paperwork, and tenancy start-up arrangements included in the selected service. It is additional to the agreed ongoing management commission.

Two weeks is calculated as the agreed annual basic rent divided by 52 and multiplied by two. For monthly rent, the calculation is monthly rent multiplied by 12, divided by 52 and multiplied by two. Service charges, insurance rent, deposits and VAT charged on commercial rent are excluded from the rent used in this calculation. The fee basis and total payable must be stated in the signed appointment schedule; any commercial rent-free period or stepped rent must be addressed in that agreed basis.

Subject to applicable cancellation rights, the fee is earned when a binding tenancy or lease has been completed and the administration services described above have been provided. An application, holding deposit or agreement of non-binding heads of terms alone does not make the full fee payable.

The Landlord authorises deduction of the earned fee from the first month's cleared rent collected for the Landlord, or the first cleared rent instalment where rent is paid on another cycle. The deduction must appear separately on the Landlord's statement, and the tenant must receive credit for the full rent paid. The fee is payable by the Landlord; it must not be charged to the tenant, taken from a tenancy deposit or deducted from funds that must be refunded to the tenant. Any properly due balance not covered by available rent is payable by the Landlord within 14 days of an invoice.

Once properly earned, the fee remains payable and is not refundable merely because the Landlord later cancels the management appointment, subject to statutory cancellation rights, any refund or price reduction due for the Agent's breach, and other mandatory legal remedies. The fee is not charged again merely because management is renewed or an existing tenant remains in occupation.

Any amount already charged for the same work under an onboarding, takeover or introduced-tenant fee must be credited to prevent double recovery. Where the introduced-tenant protection fee becomes payable for the same letting, credit the administration fee already paid against that protection fee. Ongoing commission for distinct management services remains separately payable under the agreed terms.

5. Deposits, rent and arrears

5.1 Where the agent receives a tenancy deposit, it will be handled through an authorised tenancy deposit scheme and the required information will be provided within the legal time limit.

5.2 Deposit deductions require agreement or determination under the relevant scheme or court process. The agent may negotiate on the landlord’s behalf but cannot guarantee an award.

5.3 The agent will follow its normal arrears process and keep the landlord reasonably informed. Court proceedings, enforcement and legal representation require separate written authority and may involve additional professional costs.

6. Landlord warranties and property compliance

6.1 The landlord confirms that they own the property or have authority from every owner and any mortgagee, superior landlord, insurer or other interested party to let and manage it.

6.2 The landlord remains responsible for legal fitness, repair, safety and licensing. This includes, where applicable, energy performance, gas safety, electrical safety, smoke and carbon-monoxide alarms, furniture and furnishings, housing hazards, deposit requirements and HMO, selective or additional licensing.

6.3 The landlord must supply accurate information, valid certificates, keys, warranties, insurance details and prompt instructions, and must disclose any defect, hazard, restriction, enforcement action or change affecting the tenancy.

6.4 The landlord authorises the agent to arrange compliance checks where instructed or included in the package, but the agent’s reminders do not transfer the landlord’s statutory responsibility.

7. Access, inspections and tenant communication

7.1 The landlord authorises reasonable access on proper notice for visits, repairs, statutory checks and viewings, subject to the tenant’s rights and applicable law.

7.2 Routine management communication should be routed through the agent while management continues. This does not prevent lawful direct contact, but the landlord must avoid conflicting instructions, harassment or unlawful entry.

7.3 A management visit is a general visual review, not a structural survey, inventory re-check or guarantee that every defect will be found. Frequency is governed by the selected package and appointment schedule.

8. Repairs, contractors and emergencies

8.1 The agent may instruct a routine repair up to £150 for an individual item without further approval. Above that limit, the agent will normally seek instructions and may request funds in advance.

8.2 In an emergency, or where delay may risk safety, serious damage or breach of law, the agent may take reasonable action without prior approval. The landlord remains responsible for the reasonable cost.

8.3 Contractors are ordinarily independent suppliers. The agent will use reasonable care in selection and coordination but is not responsible for independent acts or omissions unless the agent failed to exercise reasonable care.

8.4 The landlord will maintain a £250 repair float where requested for Full Management or portfolio services.

9. HMOs and licensed property

9.1 The landlord must confirm whether the property is, or may become, an HMO and obtain every licence or planning approval required by the local authority.

9.2 The agent may assist with licensing where separately agreed. Responsibility for licensing, occupancy, conditions and compliance remains with the landlord.

9.3 The landlord authorises the agent to provide information reasonably required by a council, redress or client-money protection scheme, deposit scheme, utility provider or other lawful authority.

10. Duration, cancellation and termination

10.1 The initial management appointment has a minimum period of 12 months. For a new tenancy introduced by the agent, the minimum period starts on the tenancy commencement date. For a property already occupied when the agent is appointed, it starts on the agreement date unless another date is confirmed in writing.

10.2 The landlord may give at least three months' written notice during or after the minimum period, but the notice cannot expire before the end of the initial 12-month period.

10.3 The agent may terminate on one month's written notice, or immediately for serious breach, illegality, abusive conduct, conflict of interest or persistent non-payment.

10.4.1 The landlord may terminate this agreement by giving the notice required under clause 10.2.

10.4.2 If the landlord requests that management ends immediately, before the minimum period ends or before the required notice expires, the landlord must pay all commission, agreed charges and authorised third-party costs accrued to termination, together with an early termination charge equal to the management commission that would have been payable during the remaining minimum or notice period. That charge will not exceed three months' management commission and will be calculated using the monthly rent then payable, or the most recent monthly rent collected.

10.4.3 Where an agent-introduced tenant remains in occupation, the landlord may transfer management to themselves or another agent after the minimum period and notice requirements have been satisfied and all sums properly due have been paid. No further management commission becomes payable after the effective termination date unless expressly agreed in the signed appointment schedule.

10.4.4 No early termination charge is payable where the agent has committed a material breach and failed to remedy it within 14 days after receiving written notice, becomes insolvent, or ceases to hold any legally required redress or client-money protection membership.

10.4.5 The initial minimum period, notice requirement and early termination charge must be clearly disclosed in the appointment schedule before the landlord accepts this agreement.

10.5 Where consumer law gives the Landlord a cancellation right—including qualifying agreements made online, by telephone or away from our office—the Landlord may cancel within 14 days starting the day after this agreement is made, subject to any statutory extension. Cancellation may be notified to info@richmondholmes.com. Full cancellation instructions and the optional cancellation form accompany this agreement.

10.6.1 If, during this appointment or within 12 months after it ends, the landlord grants a tenancy or licence to a prospective tenant effectively introduced to the property by Richmond Holmes Estates, but completes the letting directly, through a connected person or through another agent outside the selected Richmond Holmes Estates service, the landlord must pay Richmond Holmes Estates a one-off introduction fee equal to six weeks’ rent.

10.6.2 The fee is 6/52 of the higher of: (a) the annualised rent actually agreed for the letting; and (b) the annualised market rent most recently confirmed in writing between Richmond Holmes Estates and the landlord before the introduction. For example, where the higher figure is £1,200 per month, the fee is £1,661.54.

10.6.3 A prospective tenant is effectively introduced only where Richmond Holmes Estates can evidence a documented identification together with a viewing, negotiation or other step that materially led to the letting. Richmond Holmes Estates will provide an introduced-party list when the appointment ends.

10.6.4 This fee does not apply merely because management of an existing tenancy transfers after valid termination, does not duplicate a tenant-find or introduction fee already paid for the same letting, and will not be claimed more than 12 months after this appointment ends.

10.7 Cancellation or termination of the management appointment does not release the Landlord from an introduced-tenant or occupier protection fee properly payable under clause 10.6. Where the Landlord grants a tenancy or licence outside the selected Richmond Holmes service to an occupier effectively introduced by Richmond Holmes within the period specified in that clause, the existing six-week fee remains payable despite cancellation or termination, subject to that clause's evidence requirements, calculation basis, exclusions and applicable statutory rights. Credit any administration fee already paid for the same letting to prevent double recovery. Cancellation alone does not trigger the six-week fee where the existing clause's conditions are not met.

An administration fee properly earned under clause 4.5 remains subject to the qualifications in that clause. If the Landlord cancels before the full fee has been earned, the full fee does not become payable automatically. Outside statutory cooling-off cancellation, any charge for incomplete administration must reflect reasonable, evidenced work and direct net loss attributable to the cancellation, allowing for costs saved and amounts recovered elsewhere, and must not exceed the two-week administration fee. The same work or loss must not also be charged under another termination or introduction provision.

Where a statutory cooling-off right applies, services must not start within that period without the Landlord's express request and the required information. Any payment on cancellation is limited to the proportionate amount lawfully payable for services actually supplied. Securing a tenant does not automatically remove that right or fully perform an ongoing management agreement. The agreed management termination provisions and any right to terminate for the Agent's breach continue to apply.

11. Insurance, tax and non-resident landlords

11.1 The landlord must maintain suitable buildings, contents and property-owner liability insurance and inform the insurer that the property is let and professionally managed.

11.2 The landlord is responsible for tax advice and declarations. If the Non-resident Landlords Scheme applies, the agent may deduct and account for tax unless HMRC has authorised gross payment.

11.3 The landlord must promptly notify the agent of any insurance claim, tax-authority direction, insolvency event or change of residence that may affect management.

12. Data protection, records and confidentiality

12.1 Personal data will be used to deliver the service, administer the tenancy, prevent fraud, meet legal duties and resolve disputes in accordance with the agent’s privacy notice.

12.2 Information may be shared with tenants, applicants, contractors, professional advisers, schemes and authorities where reasonably necessary or legally required.

12.3 The landlord must handle personal data supplied by the agent lawfully, securely and only for a proper tenancy-related purpose.

13. Complaints, redress and client money

13.1 Complaints should first be made to Richmond Holmes Estates under its published procedure. If unresolved, eligible complaints may be referred to the agent’s current approved redress scheme.

13.2 The agent will hold client money in accordance with applicable law, scheme rules and its published client-money handling procedure. Current redress and client-money protection certificates will be made available with these terms or on request.

14. Liability and indemnity

14.1 Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or death or personal injury caused by negligence.

14.2 The agent is not liable for loss caused by the landlord’s breach or inaccurate information, a tenant or contractor, hidden defects, interruption outside the agent’s reasonable control, or action taken reasonably on professional or official advice.

14.3 The landlord will reimburse the agent for reasonable loss, cost or liability properly incurred when acting within the landlord’s authority, except to the extent caused by the agent’s negligence, fraud or breach of contract.

15. Sale to an introduced occupier

15.1 If selected in the appointment schedule, a fee of 1.5% of the completed sale price is payable where the landlord sells the property to a tenant or occupier first introduced by the agent during the appointment or within 12 months after it ends.

15.2 This fee is payable only where the landlord expressly selected and accepted it before appointment. Conveyancing, sales progression and any separate sales agency service are not included unless agreed.

16. Changes, notices and general terms

16.1 A material change to services or fees must be notified in writing with reasonable notice and will not apply retrospectively. A change required by law may take effect when the law requires.

16.2 Contractual notices may be delivered by hand, prepaid post or email to the latest notified address. Statutory notices remain subject to their own legal service requirements.

16.3 If a provision is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. No third party has a right to enforce this agreement.

16.4 English law applies and the courts of England and Wales have jurisdiction, subject to mandatory consumer rights.

17. Electronic acceptance

17.1 Typing a name, drawing a signature and selecting the acceptance declarations is intended to authenticate this agreement.

17.2 The electronic signing system will retain the document version, date and time, signatory details, consent record and appropriate audit data, and provide a completed copy to both parties.

17.3 These terms are a simple contract and are not intended to be executed as a deed.

Cancellation information

Where the Landlord is an individual acting wholly or mainly outside their trade, business, craft or profession and this appointment is a qualifying distance or off-premises contract, the Landlord may cancel without giving a reason. This includes qualifying agreements made online, by telephone or away from the Agent’s business premises. The right runs from the making of the contract until the end of 14 days beginning the following day, subject to any statutory extension.

To cancel, communicate a clear decision to the Agent before the deadline, for example by emailing info@richmondholmes.com or writing to RH Estates & Solutions Ltd trading as Richmond Holmes Estates, 5 The Lanes, Sutton Coldfield, B72 1YG. The supplied cancellation form may be used but is not compulsory.

Services may begin during that period only at the Landlord’s express request, recorded on paper or by email or another durable medium. If the Landlord then cancels, a proportionate payment for services actually supplied before cancellation may be due, but only where the required information was provided and the law permits payment. The calculation will reflect the service supplied against the agreed total price, or its market value if that price is excessive. Starting work or arranging a tenancy does not itself remove the right to cancel. Loss of that right through full performance requires the Landlord’s prior express request and acknowledgement required by law.

Any refund due will be made without undue delay and within 14 days after the Agent is informed of cancellation, using the original payment method unless otherwise agreed, without a refund fee. No early termination penalty applies to a valid statutory cancellation. These rights take precedence over conflicting minimum-term, notice and fee provisions.

The Agent will reasonably cooperate with handover once all properly due sums have been settled, subject always to statutory duties and cancellation rights.

Tenant Management & Occupancy Terms

Trading address: 5 The Lanes, Sutton Coldfield, B72 1YG · Company number 12312133 · Email: info@richmondholmes.com

1. Status and scope

1.1 Richmond Holmes acts as the landlord’s authorised managing agent. These terms supplement the tenancy agreement and record the management arrangements explained to the tenant.

1.2 If these terms conflict with the tenancy agreement or applicable law, the law prevails and the tenancy agreement prevails to the extent it gives the tenant greater protection. These terms do not create a prohibited fee or remove a statutory right.

2. Rent and payment records

2.1 The tenant must pay the agreed rent in full on the due date to the bank account or payment method most recently notified in writing by Richmond Holmes on the landlord’s authority.

2.2 The tenant should verify any unexpected request to change payment details using Richmond Holmes’ published contact information. The tenant must keep evidence of payment and promptly report any missing or incorrect allocation.

2.3 Any late-payment interest may only be charged where the tenancy agreement permits it, the rent has been outstanding for at least 14 days and the amount does not exceed the legal limit.

3. Managed communication and payment protocol

3.1 While Richmond Holmes manages the property, the tenant must route routine tenancy communication, repair reporting and rent payments through Richmond Holmes using the notified channels.

3.2 The tenant must not deliberately bypass Richmond Holmes by agreeing tenancy changes or paying rent directly to the landlord unless Richmond Holmes has first confirmed written authority, including confirmation of any instruction originating from the landlord. The tenant should verify any unexpected direct-payment instruction with Richmond Holmes while its management appointment remains in force. This does not require the tenant to disregard valid notice that the agent’s authority has ended and does not prevent the tenant contacting the landlord to obtain legally required information, exercise a statutory or contractual right, report an emergency or serious safety concern, make a complaint, seek legal advice, or communicate with a council, deposit scheme, redress provider, tribunal or court.

3.3 If the tenant pays the landlord directly without prior written authority, the tenant must notify Richmond Holmes and provide payment evidence within two business days. A payment genuinely received and accepted by the landlord for rent will be credited to the tenancy account and will not be treated as unpaid merely because it used the wrong route.

3.4 Deliberate or repeated bypassing of the agreed management route is a breach of these terms and may also be a breach of the tenancy agreement where these terms are incorporated into it. Richmond Holmes or the landlord may issue a written breach notice, require future compliance, correct the tenancy records and seek only any evidenced loss or lawful remedy available under the tenancy agreement and applicable law.

3.5 This clause does not permit an automatic fine, automatic eviction or forfeiture of the tenancy deposit. Any possession action requires a valid statutory ground, the prescribed procedure and, unless the tenant leaves voluntarily, a court order.

4. Repairs, access and emergencies

4.1 The tenant must promptly report repairs, defects, leaks, hazards and damage, take reasonable steps to limit further loss and provide accurate access information.

4.2 Routine access will normally require at least 24 hours’ written notice and take place at a reasonable time. Immediate access may be requested in a genuine emergency. The tenant’s rights to privacy and quiet enjoyment continue.

5. Care, use and conduct

5.1 The tenant must take reasonable care of the property, use it as their home, keep it reasonably clean and ventilated, avoid damage and comply with the occupancy, pet, smoking, alteration and subletting provisions in the tenancy agreement.

5.2 The tenant is responsible for the conduct of household members and visitors and must not cause nuisance, harassment, anti-social behaviour or unlawful use.

6. Deposit and lawful deductions

6.1 Where a tenancy deposit is taken for an assured periodic tenancy, it must be protected in an authorised scheme and the required information supplied within the legal time limit.

6.2 The deposit remains the tenant’s money unless and until a deduction is agreed or determined. It cannot be automatically forfeited for contacting or paying the landlord directly.

6.3 Proposed deductions must be supported by evidence and may cover only loss or liability properly arising under the tenancy, such as unpaid rent or bills, damage beyond fair wear and tear, missing items, or reasonable cleaning needed to restore the property to the documented check-in standard.

7. Permitted payments

7.1 The tenant will not be required to make a payment prohibited by the Tenant Fees Act 2019. Charges for a tenant-requested tenancy change, lost keys, late rent or insufficient notice are payable only where the law and tenancy agreement allow them and only within the applicable limit.

8. Data, communication and complaints

8.1 Personal data will be used for tenancy administration, rent accounting, repairs, safety, fraud prevention and legal obligations in accordance with Richmond Holmes’ privacy notice.

8.2 The tenant should raise service complaints with Richmond Holmes first. This does not prevent contact with the landlord, local authority, deposit scheme, redress provider, ombudsman when applicable, tribunal, court or an independent adviser.

9. Ending the tenancy and remedies

9.1 The tenant must give the notice required by law and the tenancy agreement. Rent and other tenancy obligations continue until the tenancy lawfully ends.

9.2 A breach may lead to a written warning, a request to remedy the breach, a claim for proven loss, deposit deductions subject to the scheme process, or possession proceedings where a statutory ground applies. Nothing authorises unlawful eviction, harassment or an unapproved penalty.

10. Electronic acceptance

Choose your service and complete your details below. You verify your mobile and sign securely; Richmond Holmes then receives its countersigning email.

Commencement of services

Richmond Holmes Estates will normally begin or continue the agreed management communications and administration immediately after these terms have been signed and accepted, provided its managing authority is in force and no different commencement date has been notified. That authority comes from the landlord's management appointment. Signing these tenant terms does not bring forward the tenancy or lease start date, change rent or payment dates, create an agency appointment by the tenant, or authorise physical works beyond the lawful authority already given.

These terms do not create a tenant-finding, administration or cancellation fee payable by the tenant. Any existing tenant payment remains subject to the tenancy or lease, this agreement and applicable law. Any statutory consumer cancellation right relating to a separate service is preserved; where it applies, early performance requires the customer's express request and the required information, and any charge on cancellation is limited to the amount lawfully payable. Nothing here removes occupation, safety, repair, complaint or other mandatory rights.

Avoiding two fees

Owners must disclose previous agents and interested parties before appointment. Overlapping instructions or introductions can result in more than one agency fee becoming payable.

Commercial letting & management

RH Complete Commercial Management

A structured letting and ongoing management service at 10% of gross rent actually collected by Richmond Holmes Estates. The initial management period is 24 months, followed by three months’ written notice. A separate six-week introduced-occupier fee can apply if the owner bypasses the service and lets to an occupier effectively introduced by us. A separate letting administration fee equal to two weeks of basic rent (agreed annual basic rent ÷ 52 × 2) is payable by the owner for each new letting or re-letting, in addition to management commission. For monthly rent, the calculation is monthly rent × 12 ÷ 52 × 2. It is earned when the binding tenancy is completed and the agreed administration is supplied, and is deducted from cleared first-month rent belonging to the owner; the tenant receives credit for the full rent paid. At £1,200 monthly rent the fee is £553.85. Existing-tenant management renewal alone does not trigger it. Cancellation charges and refunds remain subject to the agreement and statutory rights, with credit for overlapping charges.

RH Estates & Solutions Ltd trading as Richmond Holmes

Commercial Property Terms of Business & Authority to Act

Trading address: 5 The Lanes, Sutton Coldfield, B72 1YG · Company number 12312133 · Email: info@richmondholmes.com

1. Appointment, ownership and authority

The owner appoints Richmond Holmes Estates for the property and service selected in the Appointment Schedule. Each signatory confirms that they own the interest or are authorised by every owner, trustee, partner, director, lender, insolvency office-holder or other necessary party. The owner authorises marketing, enquiries, viewings, offer reporting, negotiation and ordinary service administration, but not execution of any deed, lease, licence, contract, transfer or tax election on the owner’s behalf unless separate legally sufficient written authority is given.

2. Fees and additional work

Commercial Sole Agency Sale is 1.5% and Commercial Multi Agency Sale is 2.5% of total sale consideration. Commercial Letting & Management is 10% of gross rent actually collected by Richmond Holmes Estates. Any minimum fee, marketing budget or third-party cost must be entered in the signed Schedule. Additional work outside the selected package may be offered at a separate fee, but its scope and fee or charging basis must be disclosed and agreed in writing before work begins, except urgent work within the recorded repair authority.

3. Sole-agency explanation

SOLE AGENCY. You will be liable to pay remuneration to us, in addition to any other costs or charges agreed, if at any time unconditional contracts for the sale of the property are exchanged: (a) with a purchaser introduced by us during the period of our sole agency or with whom we had negotiations about the property during that period; or (b) with a purchaser introduced by another agent during that period.

4. Fee trigger and continuing liability

Sales commission becomes due at unconditional exchange and is payable on completion. The owner authorises their conveyancer to discharge properly due fees from completion monies. Where another agent is later involved, Richmond Holmes may claim for an effectively introduced purchaser only where that agent’s memorandum is issued within six months after termination; if no other agent is involved, the period is two years. The owner must disclose all previous agents and interested parties to avoid dual-fee risk.

5. Commercial letting, management and introduced occupiers

The 10% management appointment continues for an initial 24 months from commencement. Notice may be served during that period but cannot expire before its end. Thereafter either party may terminate on three months’ written notice. An immediate owner-requested handover before notice expires attracts only accrued sums and the commission that would have fallen due during the remaining notice period, capped at three months’ management commission. No such charge applies to an unremedied material breach by Richmond Holmes.

If, during the appointment or within two years after it ends, the owner lets or licenses the property outside the selected Richmond Holmes service to an occupier effectively introduced by Richmond Holmes, a one-off fee equal to 6/52 of the higher of the annualised rent actually agreed and the annualised market rent most recently confirmed in writing before the introduction becomes payable. Richmond Holmes will identify introduced parties on termination. The fee does not duplicate a fee already paid for the same letting, does not apply merely because management of an existing tenancy transfers after valid termination, and will not be claimed where another agent first re-introduces that occupier more than six months after Richmond Holmes’ appointment ended.

6. Marketing, information and approval

The owner must supply accurate title, tenure, occupational, planning, environmental, building, service-charge, insurance, EPC, MEES, asbestos, fire-safety and tax information and report changes. Marketing particulars require owner approval before publication. Richmond Holmes may pause marketing where information is missing, doubtful or legally required.

7. Offers, heads of terms and legal documents

All offers will be reported promptly unless a lawful written instruction says otherwise. Heads of terms are subject to contract and do not bind the owner. Leases, agreements for lease, licences, transfers, rent-deposit deeds, guarantees and 1954 Act contracting-out steps must be handled by the parties’ solicitors.

8. Money, repairs and arrears

Where management is selected, collected money will be handled through the agent’s designated client-account arrangements and accounted for by statement, subject to cleared funds, agreed deductions and any legally required retention. Repairs beyond the Schedule limit require owner approval unless urgent action is reasonably necessary to protect life, safety or the property. Richmond Holmes may pursue initial arrears contact but court, forfeiture, CRAR, insolvency and enforcement decisions require specialist legal advice.

9. Compliance responsibilities

The owner remains responsible for legal compliance, even where Richmond Holmes sends reminders or coordinates documents. This includes EPC and MEES, planning and use, fire and asbestos risk management, insurance, accessibility, utilities, health and safety and any occupational or building-specific duties. The tenant’s responsibilities depend on the lease and control of the premises.

10. Identity, AML and sanctions

The owner must provide identity, address, beneficial-ownership, source-of-funds or wealth and transaction information reasonably requested. Richmond Holmes may use electronic verification, retain required records and pause or end work where checks cannot be completed or law requires it.

11. Referrals and independent advisers

At the owner’s request, Richmond Holmes Estates can arrange legal, surveying, finance, tax, insurance, energy, building or other services through suitable independent providers. Any separate cost, fee, referral benefit or conflict will be disclosed before instruction. The owner remains free to choose another provider.

12. Data, communications and complaints

Personal and business data will be used for agency, due diligence, fraud prevention, administration and legal compliance under the privacy notice. Notices may be delivered by hand, prepaid post or email to the latest notified address. Complaints should first follow Richmond Holmes’ written procedure before referral to its current approved redress scheme where available.

13. Termination, liability and law

Either party may terminate under the applicable Schedule. Richmond Holmes may terminate immediately for material breach, illegality, non-cooperation with required checks, abusive conduct, conflict or serious safety risk. Nothing excludes liability that cannot lawfully be excluded. English law applies and the courts of England and Wales have jurisdiction.

14. Electronic acceptance

Choose your service and complete your details below. You verify your mobile and sign securely; Richmond Holmes then receives its countersigning email.

Commencement of services

Richmond Holmes Estates will normally begin the agreed agency or management services immediately after the completed agreement has been signed by the customer and accepted by Richmond Holmes Estates, unless a different start date is recorded in the appointment schedule. Work remains subject to the agreed service scope, the customer's lawful instructions, necessary identity and ownership checks, access, funding and other required consents or information. This does not authorise physical works or a binding property transaction beyond the authority separately given in the agreement.

This authority operates with the selected sales or management agreement. It does not itself authorise execution of a lease, deed or sale contract, and does not replace the selected agreement’s fee triggers or commencement conditions.

Commercial Letting & Management Agreement: clause 2.5

The following two extracts apply to the Commercial Letting & Management service. Their clause references refer to that service-specific PDF above, rather than the numbering of this owner overview.

The Owner will pay Richmond Holmes Estates a letting administration fee equal to two weeks of the agreed rent for each new letting or re-letting arranged by the Agent.

The Owner authorises deduction of the earned fee from the first month's cleared rent collected for the Owner, or the first cleared rent instalment where rent is paid on another cycle. The deduction must appear separately on the Owner's statement, and the tenant must receive credit for the full rent paid. The fee is payable by the Owner; it must not be charged to the tenant, taken from a tenancy deposit or deducted from funds that must be refunded to the tenant. Any properly due balance not covered by available rent is payable by the Owner within 14 days of an invoice.

Once properly earned, the fee remains payable and is not refundable merely because the Owner later cancels the management appointment, subject to statutory cancellation rights, any refund or price reduction due for the Agent's breach, and other mandatory legal remedies.

Commercial Letting & Management Agreement: clause 9.7

Cancellation or termination of the management appointment does not release the Owner from an introduced-tenant or occupier protection fee properly payable under clause 3. Where the Owner grants a tenancy or licence outside the selected Richmond Holmes service to an occupier effectively introduced by Richmond Holmes within the period specified in that clause, the existing six-week fee remains payable despite cancellation or termination, subject to that clause's evidence requirements, calculation basis, exclusions and applicable statutory rights. Credit any administration fee already paid for the same letting to prevent double recovery. Cancellation alone does not trigger the six-week fee where the existing clause's conditions are not met.

An administration fee properly earned under clause 2.5 remains subject to the qualifications in that clause. If the Owner cancels before the full fee has been earned, the full fee does not become payable automatically.

Where a statutory cooling-off right applies, services must not start within that period without the Owner's express request and the required information. Any payment on cancellation is limited to the proportionate amount lawfully payable for services actually supplied. Securing a tenant does not automatically remove that right or fully perform an ongoing management agreement. The agreed management termination provisions and any right to terminate for the Agent's breach continue to apply.

Commencement of HMO services

Accepting the initial HMO terms does not start the new appointment, fixed term, works or payment obligations. These commence only after the property-specific schedule is completed and signed by the required owners and Richmond Holmes, subject to its dates, conditions and necessary consents. A later signed variation changes only the items expressly agreed.

Modern Method of Auction

A structured auction route with more time for legal work and finance.

Also called a conditional auction, the Modern Method of Auction combines competitive online bidding with a reservation period. Unlike a traditional auction, contracts are not usually exchanged as soon as the successful bid is accepted.

  1. 01Prepare

We assess suitability, discuss pricing and the reserve, and coordinate the property information and auction pack with the seller’s solicitor and auction provider.

  2. 02Market and bid

The property is marketed for a defined period. Registered buyers can bid online, subject to the auction provider’s terms and verification requirements.

  3. 03Reserve

The successful buyer normally signs a reservation agreement and pays the stated reservation fee, securing an exclusivity period while the transaction progresses.

  4. 04Exchange and complete

A common structure allows 28 days to exchange and a further 28 days to complete. The exact deadlines in the auction and reservation documents always apply.

Why a seller may consider it
  • A defined sales timetable and clear milestones
  • Competitive bidding with online accessibility
  • A longer completion window than many traditional auctions
  • A reservation commitment that may reduce avoidable withdrawals
What a buyer must understand
  • The reservation fee is normally separate from the purchase price
  • Refund rights depend on the written reservation terms
  • Finance, survey and legal-pack checks should be completed promptly
  • Missing a contractual deadline can have financial consequences

Interested in this option? Contact Richmond Holmes to discuss whether the Modern Method of Auction may be suitable for your property or purchase. The auction provider, availability, fees, reservation terms and exact completion timescales will be confirmed as part of the initial discussion.
